In 60 seconds: how to explain this to your client. George C. W. Gatch, CEO, J.P. Morgan Asset Management. Duration 1:00.

Key shareholder talking points

  1. You received a proxy because you owned a J.P. Morgan Fund on the record date. Every fund is voting to elect its Trustees, a routine item.
  2. A small group of 4 mutual funds and 19 ETFs is also voting on one or two additional changes: a unified fee (16 ETFs), a move to non-diversified status, or an industry concentration policy change.
  3. Investment objectives don’t change, and J.P. Morgan continues to manage every fund. The Board recommends voting FOR each proposal.
  4. Voting takes a few minutes online, by phone or by mail using the control number on the proxy materials.
  5. Voting doesn’t affect the account or our relationship, but every vote helps the funds reach quorum and avoid follow-up calls.

Draft talking points, subject to compliance review.

2Proposals at a glance

Four proposals, said simply

One line per proposal you can use with clients. Full plain-English explanations are on the shareholder site.

Proposal 1 · Routine

Election of Trustees

All 170 funds

“This is the funds’ version of electing a board of directors. It’s routine and doesn’t change how your money is invested.”

Proposal 2 · Non-routine

Unified management fee

16 ETFs

“Your ETF would pay one all-in fee, the way most ETFs already work. The proxy shows the before-and-after for your fund.”

Proposal 3 · Non-routine

Non-diversified status

3 mutual funds · 1 ETF

“The fund wants room to hold bigger positions in its best ideas. The goal stays the same.”

Proposal 4 · Non-routine

Industry concentration

1 mutual fund · 2 ETFs

“The fund wants to follow its strategy even when one industry becomes a bigger part of the market.”
